1. About Virano and Our Role

Virano is a mobile application operated by Matello Software Solutions SRL (VAT ID: RO33403298, registered office: Vlad Țepeș 5, 305500, Lugoj, Timis, referred to below as "Virano", "we", or the "platform").

Virano is an intermediary platform that connects parents and guardians with sports clubs, academies, and independent coaches ("Organizers"). Virano provides the technical infrastructure for discovery, enrollment, and payment processing. Virano does not provide, organize, or assume responsibility for the sports activities themselves.

The contract for the sports service is concluded directly and exclusively between the User and the Organizer. Virano is not a party to that contract and cannot be held responsible for non-performance or defective performance of the sports service.

2. Acceptance of the Terms

By creating an account, accessing any functionality, or simply using the platform, you confirm that you have read, understood, and fully accepted these Terms and Conditions ("Terms"), together with the Privacy Policy available at virano.app/privacy.

If you act on behalf of a legal entity (club, academy, association), you confirm that you have the legal authority to bind that entity by accepting this document.

If you do not agree with any provision, you do not have the right to use the platform.

3. Accounts and Eligibility

3.1 Minimum Requirements

You may create a Virano account if you are at least 18 years old. If you create an account as an Organizer (club, academy, sole trader, company, NGO), you also confirm that you have full legal capacity or that you legally represent the entity on whose behalf you act. Minors are prohibited from creating accounts; a parent or legal guardian manages the account on their behalf.

By registering, you declare under your own responsibility that you meet these conditions.

3.2 Accuracy of Data

You must provide accurate and complete registration data, update it whenever it changes, and refrain from creating false or duplicate accounts. Virano may suspend any account where there are indications of false data.

3.3 Account Security

You are responsible for keeping your login credentials confidential and for all actions performed from your account, whether or not you authorized them. Any suspected unauthorized use must be reported immediately to [email protected].

3.4 Child Profiles

If you create a profile for a child, you confirm that you are the child's parent or legal guardian, or that you have express authorization to do so, and that all data provided, including the date of birth, is accurate and current.

Virano uses the date of birth to verify the child's age eligibility when enrolling in activities. Providing incorrect data in order to bypass age restrictions is a breach of these Terms, and responsibility rests exclusively with the User.

4. Types of Activities Available on the Platform

Virano may support three types of activities, with different enrollment and billing rules:

4.1 Recurring Class

An activity with a fixed weekly or biweekly schedule, for an indefinite duration. At enrollment, you choose a payment option: monthly subscription, multi-month plan (paid in full in advance), or prepaid session package (for example, 5 or 10 sessions). The activity continues until you cancel it or until the Organizer withdraws it.

4.2 Camp

An activity with a fixed start and end date and a maximum number of places. Payment is one-time and made in full at enrollment. There are no recurring payments. If maximum capacity is reached, enrollment is no longer possible. This functionality is available where Virano makes it available.

4.3 On-Demand Service

Individual coaching sessions booked from a prepaid session package purchased at enrollment. Sessions have a validity period set by the Organizer; unused sessions expire at the end of that period without any right to a refund, unless the Organizer provides otherwise. This functionality is available where Virano makes it available.

5. Enrolling in an Activity

5.1 Enrollment Process

Enrollment is completed by selecting the activity, the child who will participate, the payment option, and the payment method. A booking is considered active and confirmed only after successful payment or, in the case of cash payments, after the Organizer confirms receipt of the payment.

The platform currently allows adults to enroll only as representatives of a minor. Direct enrollment of adults in activities in their own name is a functionality under implementation and will become available soon.

5.2 Age Restrictions

The Organizer may restrict an activity to a specific age range. Virano automatically checks the child's eligibility at the time of enrollment based on the date of birth in the profile. If the child does not fall within the activity's age range, enrollment is refused regardless of the chosen payment method.

5.3 Maximum Capacity

Each activity may have a maximum number of places. Places are allocated in the order enrollment is completed. If the activity is full when you enroll, the booking will be refused. Simultaneous attempts to claim the last available place are handled so that only one place is confirmed.

5.4 Activities Requiring Prior Approval

The Organizer may enable the "Requires Approval" option for an activity, in which case no booking becomes automatically confirmed. The process is:

  • Your enrollment is sent to the Organizer as an approval request. Your card may be saved at this stage, but it is not charged.
  • If the Organizer approves, the booking is confirmed and payment is processed or activated on the activity start date, if the activity has not started yet.
  • If the Organizer rejects the request, the booking is cancelled and the card is not charged. You may submit a new request.
  • If the Organizer does not act within 30 calendar days, the booking expires automatically.

While waiting for approval, you cannot directly cancel the booking. Virano cannot intervene in the Organizer's approval or rejection decision.

5.5 Free Trial Period

If the Organizer offers a free trial period, you may attend one session without payment. The trial period creates no cost, does not require saving a card, and does not constitute a subscription. At the end of the trial period, you must enroll with a standard payment option if you wish to continue. You may not leave reviews based on participation in a trial period.

6. Payments

6.1 Card Payment Processing (Stripe)

Card payments are processed by Stripe, Inc. ("Stripe"). Funds reach the Organizer's connected bank account directly; Virano does not hold, block, or intermediate the funds. By using card payments, you also accept Stripe's terms available at stripe.com/legal.

Your card data is handled exclusively by Stripe and is not stored on Virano servers. Virano does not have access to your full card details.

6.2 Cash Payments

Cash payment is available only if the Organizer has enabled this option for the relevant activity. When choosing cash payment, your booking is created immediately but remains pending until the Organizer confirms that the amount has actually been received.

Virano does not guarantee and is not responsible for the collection of cash payments. If the Organizer does not confirm receipt within the established timeframe, the booking may be cancelled automatically. Any disagreement regarding a cash payment is resolved directly with the Organizer.

6.3 Subscriptions and Automatic Renewal

Monthly subscriptions for Recurring Classes renew automatically on the same day of the month by charging the saved card, unless you cancel before the renewal date. It is your responsibility to ensure that payment methods are valid and have sufficient funds.

Prepaid session packages may be configured with auto-renewal: when sessions are used up, a new package is purchased and charged automatically. You can activate or deactivate auto-renewal at any time from your booking detail screen.

6.4 Payment Failures

For card payments, a place in an activity is reserved and confirmed only after successful payment. If the initial payment fails, the booking is not created and the place remains available to other participants; there is no grace period for a failed first payment.

For active subscriptions (monthly renewal payments), if a renewal fails, the subscription temporarily becomes overdue and the child may continue to participate for a limited period while you update the payment method. If the situation is not remedied, the subscription will be suspended. Virano is not responsible for damages caused by failure to resolve a payment failure on time.

The grace and retry policy above applies to parent subscriptions for participating in activities. Failed renewal payments for Organizer platform subscriptions (Starter, Premium) are governed by §6.7 below.

6.5 Prices and Platform Fees

Activity prices are set exclusively by Organizers. All displayed prices include applicable VAT, unless stated otherwise.

Virano does not charge parents or end users additional costs for access to activities listed on the platform.

6.6 Cancellations and Refunds

The general rule of the Virano platform is that refunds are not issued. Virano does not process refunds and is not responsible for them. If an Organizer has its own refund policy included in its Terms and Conditions attached to the activity, that policy prevails for the User, but the refund is made directly by the Organizer, without Virano's involvement. If the Organizer does not declare its own policy, the default Virano rule applies: no refunds.

When a subscription is cancelled, the child may continue to participate until the end of the period already paid for. No refund is issued, unless the Organizer provides otherwise through its own terms attached to the activity.

When a place in a Camp or On-Demand Service is cancelled, no refund is issued, unless the Organizer provides otherwise through its own terms attached to the activity.

Bookings rejected by the Organizer in the approval flow do not generate any cost for the User.

Cancellations and refunds described above apply to parent bookings and subscriptions. Cancellation and downgrade of Organizer platform subscriptions is governed by §6.7 below.

6.7 Organizer Platform Subscriptions

6.7.1 Plan Changes (Upgrades, Downgrades, Cancellation)

Organizers can change the plan attached to their organization account at any time from the account portal.

Upgrades (switching to a more expensive plan or longer billing period) take effect immediately. The card on file is charged a prorated amount for the remainder of the current billing period.

Downgrades (switching to a less expensive plan) and cancellations to the Free plan take effect at the start of your next billing cycle. The current paid period continues uninterrupted until then. No refund or credit is issued for the unused portion of the current period. This applies regardless of how many days remain on the current cycle at the time of the change.

A scheduled downgrade or cancellation can be modified or revoked at any time before its effective date.

6.7.2 Renewal Payment Failures

If a renewal payment on an Organizer platform subscription fails, Virano (via Stripe) automatically attempts to charge the card again. Up to four retry attempts spread over approximately two weeks are made.

  • On the first failed retry, you are notified by email but your account continues to operate normally.
  • On the second failed retry, your published activities are hidden from new parents browsing Virano and you cannot publish new activities. Your existing parents and active subscriptions are not affected — they continue normally.
  • If all retries fail, your platform subscription is cancelled and your account reverts to the Free plan.

To restore your account immediately at any point during the retry period, update your payment method from the account portal. The next retry will use the new card; if it succeeds, your account returns to normal operation and any visibility restrictions are lifted automatically.

6.7.3 Reverting to the Free Plan with Active Content

If your account reverts to the Free plan (whether by your own cancellation or after exhausted payment retries) and you have more published activities or active parent subscriptions than the Free plan allows, your existing relationships continue uninterrupted. You will receive a notice asking you to upgrade or contact support to resolve the over-quota situation. Virano will not automatically cancel parent subscriptions or hide your existing activities as a result of the plan change.

7. Organizer Obligations

This section applies to any natural or legal person who uses Virano to publish and manage sports activities.

7.1 Mandatory Requirements

By listing an activity on Virano, the Organizer confirms and warrants that:

  • It holds all authorizations, licenses, and certifications required by Romanian law for the type of sports activity performed.
  • It maintains appropriate insurance coverage, including civil liability insurance toward participants, throughout the duration of the activities.
  • All activity descriptions (title, sport, level, age, schedule, price) are accurate, complete, and not misleading.
  • It complies with all security and safety rules applicable to sports activities involving minors.
  • It has completed and keeps active the Stripe Connect onboarding process in order to accept card payments; without this, card payments are not available for its activities.

7.2 Responsibility for the Activity

The Organizer is solely responsible for conducting the activity: schedule, content, quality of instruction, safety of the space and equipment, incident management, and the conduct of coaches. Virano does not verify, audit, or certify any Organizer or activity.

7.3 Cancellation Policy and Organizer Terms

The Organizer may attach its own Terms and Conditions to an activity when creating it. The User is informed of and agrees to those terms at the time of booking. If the Organizer does not attach its own policy, the Virano Terms apply by default. Changes to the Organizer's Terms do not retroactively affect already confirmed bookings.

7.4 Consent Declarations (Sworn Declarations)

Organizers may create digital consent forms, for example parental consent or medical declarations, accessible through a public link without the participant needing a Virano account. This functionality is optional and separate from activities listed on the platform. The Organizer is fully responsible for the content of these forms, their legal compliance, and the storage and processing of data collected through them. Virano provides only the technical infrastructure.

7.5 Prohibitions

Organizers are prohibited from publishing fictitious activities, collecting payments without intending to provide the service, misleading Users about qualifications or activity conditions, or using the platform for any fraudulent purpose.

8. Coaches: Role and Limitations

The coach ("Coach") is a natural person invited by the Organizer to lead or assist activities. A Coach cannot access the platform as a coach without an accepted invitation from an Organizer.

The Coach has limited access: they may view and manage sessions to which they are assigned, mark participant attendance, and confirm cash payments. The Coach does not have access to financial information, cannot create or edit activities, and cannot administer the Organization.

Virano has no employment relationship with coaches. Coaches act exclusively in a contractual relationship with the Organizer who invited them.

9. Reviews

You may leave a review for an activity only if you actually participated in at least one confirmed session, either as a parent who enrolled a child or as an adult participant where the platform allows direct enrollment. Reviews are not available for free trial periods.

Reviews must be honest, based on real experience, and free of offensive, discriminatory, or false content. Virano may remove reviews that violate these requirements, without an obligation to provide prior notice.

10. Participants Without a Prior Booking

The Organizer may mark a participant as present at a session without a prior booking for that specific session, whether the participant has no active booking on the platform or is enrolled in another session of the same organization (for example, enrolled in the Monday group but attending Tuesday). This option is available at the Organizer's discretion and is reflected in the session's maximum capacity. Any financial arrangement regarding such participation is established exclusively between the Organizer and the User; Virano does not intermediate or process payments for these situations.

11. Proper Use of the Platform

Users and Organizers agree to use Virano only for lawful purposes and in accordance with these Terms. The following are prohibited:

  • Providing false, incomplete, or misleading data at registration or during use.
  • Using the platform for fraudulent purposes, including unjustified refund requests or abusive chargebacks.
  • Disrupting the platform's operation or attempting unauthorized access to data or accounts.
  • Harassing, threatening, or harming other Users, Organizers, or Coaches.
  • Publishing fictitious activities or collecting payments without intending to provide the service.
  • Automated data extraction (scraping) without Virano's written consent.
  • Any action intended to bypass age or capacity restrictions for an activity.

12. Intellectual Property

All content of the Virano platform, including logo, design, source code, texts, algorithms, and documentation, is the property of Matello Software Solutions SRL or its licensors and is protected by Romanian and international copyright and intellectual property laws. Unauthorized reproduction, distribution, or use is strictly prohibited.

Content published by Organizers on the platform (descriptions, photos, materials) remains their property. By publishing it, the Organizer grants Virano a limited, non-exclusive, revocable license to display it as part of the platform services. The Organizer warrants that it holds all necessary rights to the published content.

13. Limitation of Liability

13.1 Virano as Intermediary

Virano is not responsible for:

  • The quality, safety, legality, or suitability of sports activities organized by third parties.
  • Physical, emotional, or material harm suffered by participants during activities.
  • The conduct, qualifications, or insurance of Organizers or Coaches.
  • Non-payment or delayed cash payments between Users and Organizers.
  • Disputes regarding refunds, service quality, or failure to follow schedules.
  • Temporary interruptions of the service caused by technical, infrastructure, or force majeure factors.
  • Organizer decisions regarding approval or rejection of bookings.

13.2 Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT ANY EXPRESS OR IMPLIED WARRANTY OF UNINTERRUPTED OPERATION, ACCURACY, OR FITNESS FOR A PARTICULAR PURPOSE.

13.3 Liability Cap

Virano is an intermediary platform and is not financially liable to end users (parents, adults) for damages related to Organizer activities; the legal relationship in these cases exists exclusively between the User and the Organizer.

Virano's direct liability toward end users for deficiencies of the platform itself is limited to the amounts actually paid by that User directly to Virano as a Virano service fee in the 3 months preceding the event.

In relation to Organizers, Virano's total liability, regardless of the legal basis invoked, may not exceed the equivalent of 1 (one) month of platform subscription paid by that Organizer, calculated at the value of the active subscription on the date of the event. Virano is not responsible for indirect losses of revenue, profit, or data.

13.4 Indemnification

The User and Organizer agree to indemnify Virano and hold it harmless from any claims, damages, or expenses resulting from: (i) use of the platform in breach of these Terms; (ii) content published on the platform; (iii) activities conducted through the platform; (iv) false data provided at registration or during use.

14. Privacy and Data Protection

We process your personal data in accordance with the GDPR, Romanian Law no. 190/2018, and our Privacy Policy available at virano.app/privacy, which forms an integral part of these Terms.

Your card data is handled exclusively by Stripe; we do not store it on our servers. Your child's data is processed exclusively on the basis of your consent, in the best interests of the minor.

Organizers who process User data for their own purposes act as independent Data Controllers and are individually responsible for compliance with data protection law.

You may request deletion of your account and data at any time at [email protected].

15. Changes to the Terms

Virano may update these Terms. We will notify you at least 7 days before significant changes enter into force, by email, push notification, or in-app notification. Changes required by law may enter into force immediately.

Continued use of the platform after changes enter into force constitutes your acceptance. If you do not agree, you may close your account before the effective date of the changes.

16. Suspension and Termination of Access

You may request account closure at any time from the app settings or at [email protected]. Outstanding financial obligations remain due after closure.

Virano may suspend or close an account, with or without notice, in case of breach of these Terms, fraudulent activity, risk to other Users or Minors, or failure to comply with Stripe onboarding requirements for Organizers. Upon closure, active subscriptions are cancelled at the end of the current paid period, and data is handled according to the Privacy Policy.

17. Dispute Resolution and Applicable Law

17.1 Disputes Between Users and Organizers

Disputes regarding activity quality, refunds, or conduct are resolved directly between the User and the Organizer. Virano may facilitate communication upon request, but is not a party and is not required to mediate or arbitrate such disputes.

17.2 Disputes with Virano

Any claim against Virano must first be submitted in writing to [email protected]. If no amicable solution is reached within 30 days, either party may resort to mediation under Romanian Law no. 192/2006. If mediation fails, the dispute will be resolved by the competent courts of Timisoara, Romania.

These Terms are governed exclusively by Romanian law. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.

17.3 Consumer Rights

If you are a consumer under Romanian law, you benefit from all rights provided by law, including the ability to notify the National Authority for Consumer Protection (ANPC) at anpc.ro.

18. General Provisions

If any provision of this document is declared null or unenforceable, the remaining provisions continue to have full effect. Virano's failure to exercise a right does not constitute a waiver of that right. The User may not assign the rights and obligations under this document without Virano's written consent. Virano may assign this agreement in the context of corporate reorganizations, with notice to Users. These Terms, together with the Privacy Policy, constitute the entire agreement between the User and Virano.
